Mutual Non-Disclosure Agreement (Submission & Consultation)

This Mutual Non-Disclosure Agreement (the “Agreement”) governs the exchange of confidential information between Geniotekdev (“Geniotek”) and the individual or entity submitting information via this website (the “Disclosing Party”).
By submitting any information through our website or engaging in preliminary consultations, you agree to be bound by the following terms:
1. Definition of Confidential Information
“Confidential Information” refers to all non-public, proprietary, or sensitive information disclosed by one Party to the other, including but not limited to:
Technical Data: Product concepts, hardware designs, engineering specifications, prototypes, schematics, and software code.
Business Data: Business plans, financial projections, marketing strategies, and customer lists.
IP Rights: Any intellectual property, whether patentable or not, disclosed during the evaluation process.
2. Purpose of Disclosure
The Receiving Party shall use the Confidential Information solely for the purpose of evaluating and discussing a potential business relationship or professional engagement (the “Purpose”).
3. Obligations of Confidentiality
The Receiving Party agrees to:
Maintain the strict confidentiality of the information using the same degree of care it uses for its own proprietary information.
Restrict access to the information to its employees, consultants, or advisors who have a "need-to-know" and are bound by similar confidentiality obligations.
Prevent any unauthorized use, dissemination, or publication of the Confidential Information.
4. Ownership and Background IP
Ownership: Disclosure of Confidential Information does not grant the Receiving Party any license or ownership rights to such information.
Geniotek’s Background IP: You acknowledge that Geniotek is a professional product development firm. Any methods, algorithms, design patterns, or engineering tools developed or owned by Geniotek prior to this disclosure (“Background IP”) remain the sole property of Geniotek.
Independent Development: Geniotek shall not be precluded from developing products or providing services that are similar to the concepts disclosed, provided that such development is conducted independently and without the use of the Disclosing Party’s specific Confidential Information.
5. Exclusions
The obligations of confidentiality shall not apply to information that:
Is or becomes publicly known through no fault of the Receiving Party;
Was already in the Receiving Party’s possession prior to disclosure;
Is rightfully obtained from a third party without restrictive obligations;
Is independently developed without reference to the Confidential Information.
